Terms of Use
These Terms of Use govern access to and use of AdaptiveCRM and all related websites, applications, tools, communications, and services provided by Wolfstone Media LLC under the AdaptiveCRM name. By accessing, purchasing, registering for, administering, or using the service, you agree to these Terms of Use on behalf of yourself and any entity you represent. If you do not agree, do not access or use the service.
Service scope
AdaptiveCRM is offered on an as-available, as-configured basis. We may modify, improve, limit, suspend, replace, remove, or discontinue any feature, functionality, workflow, integration, interface, storage practice, support channel, or service component at any time, with or without notice. We are not obligated to continue any specific feature or to maintain backward compatibility with any third-party integration, workflow, or customer process.
Eligibility and authority
You represent that you have the legal authority to enter into these Terms of Use and, if acting for a business or organization, to bind that business or organization. You are responsible for all activity occurring under your accounts, credentials, workspaces, organizations, users, and connected systems.
Pricing, seats, and billing
The current standard service price is $10 per seat per month unless we agree otherwise in writing. Any person who logs into the software constitutes a user and requires a paid seat. Seat requirements apply regardless of device, location, session duration, frequency of use, or whether the login is primary, temporary, shared, delegated, or occasional. We may monitor account access, machine usage, login activity, and related telemetry to confirm seat compliance and detect attempts to avoid required seat purchases.
Use of multiple machines, sessions, browsers, or locations by a single legitimate paid user does not by itself create an additional seat, but account sharing, credential sharing, pooled access, rotation of logins, false identities, automation, or any other attempt to bypass seat purchases or mask actual user counts is prohibited. If we reasonably believe you attempted to avoid seat charges or otherwise interfere with billing enforcement, we may suspend or terminate access, invoice additional fees, seek reimbursement of investigative and collection costs, and pursue any lawful civil remedies or damages available to us.
Fees are due as billed and are non-refundable except where non-waivable law requires otherwise. Failure to use the service, dissatisfaction with features, partial outages, degraded performance, downtime, vendor incidents, maintenance windows, or service interruptions do not create a right to refund, offset, credit, or chargeback. You are responsible for all taxes, duties, levies, and similar charges other than taxes based on our net income.
Availability and no service-level refund obligation
We strive to keep the service available, but we do not guarantee uninterrupted operation, uptime, response times, delivery times, or error-free performance. AdaptiveCRM depends on third-party hosting, cloud platforms, networking providers, data centers, registrars, internet routes, identity services, payment services, email providers, and other compounding services outside our direct ownership and control. Outages, interruptions, data delays, failures, and degradations affecting those dependencies are outside our responsibility. No service outage, slowdown, interruption, maintenance event, or dependency failure creates any obligation for us to provide a refund, rebate, penalty, service credit, or other compensation.
Compliance and customer risk allocation
We may make commercially reasonable efforts to design or operate aspects of the service in a manner intended to support customer compliance goals, but we do not guarantee that the service is certified, approved, compliant, audit-ready, or sufficient for any legal, regulatory, contractual, procurement, insurer, or vendor-specific requirement. Any references to compliance, security posture, or industry practices are statements of intent or capability only and are not warranties or guarantees.
Compliance is dependent on customer configuration, user conduct, data types, connected systems, and external legal obligations. For example, HIPAA is generally a compliance obligation rather than a universal vendor certification, and similar limitations apply to other frameworks or expectations. You are solely responsible for determining whether AdaptiveCRM is appropriate for your intended use, for obtaining any required contractual assurances from us before using the service for regulated data, and for implementing your own legal, administrative, technical, and operational safeguards.
Customer data and retention
You retain responsibility for the data you and your users submit to the service. We may store, copy, transmit, analyze, retain, archive, and otherwise process that data, along with derived logs and metadata, as described in our Privacy Policy and as reasonably necessary to operate, secure, improve, support, and enforce the service and our business. We may retain data for any period of time we determine is appropriate for business, legal, accounting, audit, anti-fraud, evidentiary, continuity, or operational reasons, including after an account ends.
Third-party infrastructure and no liability for external systems
The service may be hosted, backed up, mirrored, cached, transmitted, or warehoused on infrastructure and systems not owned by AdaptiveCRM or Wolfstone Media LLC. We do not sell customer data, and we do not disclose customer data to unrelated third parties for their own marketing use. However, you acknowledge that service delivery may require processing by hosting, infrastructure, communications, security, and similar providers acting on our behalf. To the fullest extent permitted by law, we are not liable for loss, corruption, destruction, interception, disclosure, delay, or unavailability of data arising from or occurring within systems, facilities, vendors, or networks we do not directly own and control.
Third-party APIs and integration risk
The service may integrate with or rely on third-party services and APIs, including Google, Outlook, Microsoft 365, calendar providers, email providers, identity providers, and similar external systems, in order to provide synchronization, communication, authentication, or related functionality. By enabling or using such integrations, you authorize the exchange of data, tokens, messages, metadata, and requests necessary to support the requested functionality.
We are not responsible for the acts, omissions, outages, API changes, rate limits, data handling, account compromises, security failures, or other events involving third-party platforms or your own environments. To the fullest extent permitted by law, AdaptiveCRM and Wolfstone Media LLC are not liable for any loss, damage, claim, breach, exposure, interception, unauthorized access, service failure, or operational issue arising out of or related to third-party integrations, connected accounts, or communications between the service and external systems, whether the initial compromise, failure, or misuse occurs in AdaptiveCRM, the third-party service, or the customer's own environment.
While we use commercially reasonable practices to secure our own infrastructure, the duty to secure your connected accounts, credentials, end-user devices, networks, administrators, mailbox access, calendar access, recovery methods, and internal systems rests with you. You are responsible for deciding whether to connect outside services and for maintaining appropriate password hygiene, multi-factor authentication, least-privilege access, device security, and administrative controls across all connected systems.
Acceptable use
You may not use the service unlawfully or in a way that interferes with the service, our business, other customers, or third parties. Prohibited conduct includes unauthorized access, credential sharing, seat evasion, scraping, reverse engineering except where law prohibits restriction, malware distribution, security testing without authorization, denial-of-service activity, unlawful data collection, infringement, harassment, fraud, misrepresentation, abusive automation, or use of the service to store, transmit, or process material that you do not have the right to use.
Termination and suspension
We may suspend, restrict, disable, or terminate any account, organization, user, feature, integration, or access path at any time, with or without notice, if we suspect a violation of these Terms of Use, nonpayment, fraud, chargeback activity, misuse, abuse, security risk, unlawful conduct, contractual risk, reputational risk, regulatory concern, or any use we believe may harm the service, our business, our personnel, our vendors, or others. We may also terminate or suspend access at our discretion for convenience. We are not liable for losses arising from such action, and termination does not waive any fees due or any rights or remedies available to us.
Disclaimers
The service is provided on an as is, as available, and with all faults basis to the fullest extent permitted by law. We disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, availability, interoperability, security, or results. We do not warrant that the service will meet your needs, prevent loss, satisfy compliance obligations, preserve data, or operate without interruption, latency, or error.
Limitation of liability
To the fullest extent permitted by law, AdaptiveCRM and Wolfstone Media LLC will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for any loss of profits, revenue, goodwill, business opportunity, reputation, data, or use, arising out of or related to the service or these Terms of Use, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total aggregate liability arising out of or related to the service or these Terms of Use will not exceed the amounts actually paid by you to us for the service during the one month period immediately preceding the event giving rise to the claim.
Indemnity
You agree to defend, indemnify, and hold harmless AdaptiveCRM, Wolfstone Media LLC, and their owners, managers, officers, employees, contractors, affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your data, your use of the service, your users, your violation of these Terms of Use, your violation of law, or your infringement or misuse of any rights belonging to another person or entity.
Changes to the service and these terms
We may update these Terms of Use at any time by posting revised terms. Revised terms become effective when posted unless a later effective date is stated. We may also change pricing, features, policies, billing practices, seat definitions, or enforcement practices at any time to the extent permitted by applicable law. Continued use of the service after a change becomes effective constitutes acceptance of the change.
General
If any provision of these Terms of Use is held unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. Our failure to enforce any provision is not a waiver. These Terms of Use and the Privacy Policy together form the baseline agreement governing use of the service unless we separately agree to different written terms.
